Ara Partners Acquires Vacuumschmelze: Mission Critical in the Electric Vehicle Landscape

In a game-changing move within the sustainable transportation sphere, Ara Partners announced its acquisition of Vacuumschmelze (VAC), a renowned global producer of advanced magnetic materials earlier today. This strategic partnership is set to reshape the future landscape of electric transportation, particularly given VAC’s partnership with automotive giant General Motors (NYSE: GM).

Earlier in the year, VAC made waves in the industry by signing a deal with GM, intending to build a dedicated North American facility for manufacturing permanent magnets for electric motors. This commitment, slated for production by 2025, is underscored by the emphasis on utilizing locally sourced raw materials, signaling a sustainable and resilient supply chain commitment.

Tuan Tran, a Partner from Ara Partners, provided insights into the acquisition journey. He revealed an extensive 18 to 24-month mapping exercise, where Ara Partners vetted numerous players across the rare earth supply chain. The conclusion? VAC emerged as the unequivocal leader in the Western world. Beyond its manufacturing prowess, VAC boasts a 100-year operating history in advanced magnetics, making it an industry stalwart.

The strategic importance of this acquisition becomes even more evident when considering the broader ramifications for the electric vehicle (EV) market. The GM-VAC partnership, which commits to sourcing rare earths locally, implies a deliberate move towards cultivating a robust North American supply chain for these critical materials. This “mine-to-magnet” strategy, as highlighted by Tran, is mission critical to meet not only GM’s needs but also the burgeoning demand from other Original Equipment Manufacturers (OEMs).

VAC’s track record is impressive. Their operations extend beyond the EV market to include robust industrial groups, energy efficiency applications, and manufacturing automation. Their scope also stretches to aerospace and defense sectors, hinting at a potential electrification of flight in the coming years. VAC’s involvement in alternative energy and their envisioned scalability, both geographically and by market, reinforces the company’s forward-looking vision.

In context, the acquisition is about more than just business growth. It’s about the sustainable transformation of the transportation industry. As GM accelerates its EV strategy, forging partnerships with other companies like MP Materials Corp. (NYSE: MP), the importance of a sustainable, reliable supply chain becomes paramount. By 2025, GM aims to launch 30 new EV models, powered by its Ultium batteries and Ultium Drive motor technology. A sustainable supply chain for rare earth magnets, like the one VAC aims to build, is integral to this vision.

Tuan sums the Ara Partners’ acquisition of Vacuumschmelze deal up aptly by stating: “With a 100-year operating history, Vacuumschmelze has a sizable business today, with revenues north of half a billion. They are not only prominent in the EV market, boasting relationships with all the major automotive OEMs, but they also have a robust industrial group focused on energy efficiency applications and the automation of manufacturing. Their prowess extends to a strong aerospace and defense group, echoing the positive trends seen in the EV market. Leveraging an already formidable P&L and financial standing, we are envisioning an opportunity to evolve into a multibillion-dollar business in the future.”




The Chinese Rare Earths Monopoly Saga Continues

The blather in the media suggesting that China could or already be weaponizing the export of their “rare earths” to the rest of the world is so one-sided that it must make the Chinese wonder if non-Chinese “analysts” and “experts” ever bother to see the world from the perspective of “others.” For more than a decade China has been aggressively acquiring outright or buying the output of non-Chinese rare earth sources. At this point in time, China is the overwhelming buyer, worldwide, for example of the mineral monazite, which is produced primarily as a byproduct of the processing of heavy mineral sands, which are the source of zircon and ilmenite, source minerals for, respectively, zirconium and titanium.

We can speculate that China seeks heavy mineral sands for its world-dominating production of zirconium and titanium and that the rare earths are just an added extra attraction. But my survey of actual China experts, not those who’ve never been to China and work for “intelligence” gatherers and purveyors, tells me that China is focused on conserving its own rare earth resources and responding to internal pressure to clean up its massive rare earth industry’s pollution problems. We know that Baotou’s famous operations now include extracting rare earths from the massive tailings produced over the last 30 years of poor quality mining and that China Nuclear has been licensed to process up to 50,000 tons per year of monazite to recover up to 30,000 tons per year of total light rare earths while removing the uranium and thorium from the monazites, which typically contain up to 50% more of the desirable magnet precursors, neodymium and praseodymium, than Baotou’s (and MP Materials Corp.’s (NYSE: MP)) bastnaesite.

China has now also essentially shut down its domestic heavy rare earth production from its ionic adsorption clays due to environmental degradation from their in-situ processing. China gets the majority of its heavy rare earths from Myanmar ionic adsorption clays today. The production of the first Western ionic adsorption clay producers, in Burundi and Brazil, is already pre-sold to China.

Australia has the world’s first hard-rock heavy rare earth mineral mine, that of Northern Minerals Limited’s (ASX: NTU) xenotime deposit in Western Australia. It is controlled by Chinese interests.

China is doubling the size of its rare earth permanent magnet industry. It is said that this will happen by 2025.

This means that China needs more, much more of the magnet precursor rare earths and all of the heavy rare earths, in particular, that it controls.

It is the domestic Chinese market, the market of the Belt and Road countries, and the rest of the non-aligned with China world, in that order that is driving the Chinese rare earth markets with emphasis on value added in China.

When Western, Japanese, and Korean governments announce that they want to be independent of China for rare earth permanent magnet products, the Chinese simply calculate when, in the best and worst cases, they will no longer have demand for rare earth enabled products from those countries and focus on their key domestic and allied markets.

It is very unlikely that Western car and appliance makers will be able to replace any substantial quantity of Chinese sourced rare earth permanent magnet motors by any of the ridiculously short-sighted timelines dictated by government mandates. In fact, as is already happening in Europe, it is likely that Chinese EV makers will outcompete European car makers in their (European) home markets due to their cost and critical minerals availability advantages.

The United States is woefully unprepared for the EV transition. But the 25% Trump tariff on Chinese imported cars is helping stave off a Chinese tsunami in the US car market.

2030 is fast approaching, and it’s hard to see how the automotive and appliance industries are going to decouple from China.

The anticipatory mood seems prevalent across global markets. Notably, U.S. stock index futures experienced a surge as crucial inflation and employment figures loom large. European technology stocks demonstrated an impressive performance, while in Asia, the Nikkei of Japan posted its most significant daily growth in two months.

In monetary matters, there has been a slide in the value of the U.S. dollar. This comes after Jerome Powell, the Federal Reserve Chair, indicated the potential for more rate hikes. Conversely, the euro, sensitive to Chinese market dynamics, enjoyed a slight uptick, following Beijing’s decision to reduce stamp duty on stock trades by half.

However, looming concerns persist in the global economic atmosphere. Record-high government debts combined with geopolitical strains, which jeopardize the cohesion of the global trade structure, paint a bleak picture. Furthermore, the continued lag in productivity gains hints at a future of sluggish growth, possibly hindering the developmental progress of certain nations.

Predictions from a Reuters survey of economists indicate a probable deceleration in economic expansion. Such a trend might make the Bank of Canada reconsider its stance on interest rate increments, even amidst mounting inflationary pressures.

In the automotive sector, Unifor, a Canadian union, recently announced that its members have greenlit strike mandates against the three primary Detroit automakers. This move empowers their negotiation teams to resort to job actions if deemed necessary to ensure equitable collective agreements.

In global stock market news, European futures, including the Euro STOXX 50 and German DAX, saw a rise in their early GMT trades. While Japanese shares rallied, concerns over a Chinese product ban impacted their tourism-related stocks adversely.

These elements are essential for creating permanent magnets used in automotive drive motors, as they maintain magnetism even under temperature extremes, ranging from 0°F to 400°F.

Jack Lifton, the CMI Co-Chair, emphasized the significance of these clays, stating, “Without these materials, we cannot produce the essential magnets for the automotive sector. The primary sources of these clays are currently located in China and parts of Southeast Asia, making the U.S. and Europe heavily dependent on them. Although we have identified potential sources in Brazil, Malaysia, and Vietnam, our dependency on China remains a challenge.”

He further adds, “I want to highlight the importance of these materials over their cost. Electric car production will come to a standstill without a consistent supply. The focus should now be on exploring ‘ancient clays’ found in regions like Manitoba, the Dakotas, and Australia, despite extraction being costlier.”

Lynas gearing up to strengthen its rare earths foothold in the USA

Australia’s Lynas Rare Earths Limited (ASX: LYC), the premier producer of rare earths outside China, finds itself at a crossroads as it navigates geopolitical and industry shifts. The company’s future in Malaysia remains uncertain as Kuala Lumpur reviews its stance on operations resulting in radioactive by-products. Notably, Malaysia’s operational advantages lie in its strategic location and lowered production costs, offering a competitive edge over alternatives in Texas. The latter location, although attractive, poses challenges like potential “rare earth tourism.”

In the backdrop, Lynas has seen its revenues drop due to declining rare earth prices. The recent quarter reported a fall to A$157.5 million (US$104.85 million) from A$294.5 million in the same period the previous year. However, this figure still surpasses their pre-2021 revenue marks.

Meanwhile, in the United States, Lynas is gearing up to strengthen its footprint. With the backing of the U.S. Department of Defense (DoD), Lynas USA LLC will construct the Heavy Rare Earths component of the Lynas U.S. Rare Earths Processing Facility in Texas. The updated contract with the DoD promises reimbursement for all valid construction costs. Furthermore, the U.S. Government has increased its contribution to the project from an initial US$120 million in June 2022 to approximately US$258 million.

This Texas facility is designed to bolster the U.S. rare earth supply chain, integral for both defense and commercial sectors. Once completed, it will be the only large-scale producer of separated Heavy Rare Earths outside China. Lynas has acquired a 149-acre site in Seadrift, Texas, for this endeavor, strategically located close to infrastructure, skilled labor, and potential customers. The new site also offers room for future expansion, possibly introducing downstream processing and recycling to forge a circular supply chain.

Aiming to be operational by FY2026, the Texas facility will primarily source its feedstock from the Lynas Mt Weld rare earths deposit and the Kalgoorlie Rare Earths Processing Facility in Western Australia. However, it remains open to processing from other potential sources in the future.

Amanda Lacaze, Lynas’ CEO, expressed her enthusiasm for the Texas venture, emphasizing its role in Lynas’ growth strategy. She highlighted the plant’s uniqueness as the first of its kind outside China and lauded Lynas’ position as the sole commercial scale source of separated rare earths outside China. This U.S. plant signifies a global shift towards establishing a sustainable and eco-friendly rare earths supply chain, reducing dependence on Chinese suppliers.
